Trump Media & Technology Group (TMTG) has reportedly filed a Form S-3 registration statement with the U.S. Securities and Exchange Commission (SEC), which involves raising about $2.3 billion in funds, which have previously been raised from about 50 investors.
According to the registration document, the funds will be mainly used to establish TMTG's "Bitcoin Vault", an important part of the digital asset national strategy advocated by Trump himself. In addition to building the vault infrastructure, the funds will also be used for general corporate operations and strategic expansion. The registration statement also includes about 56 million shares of common stock and 29 million shares of convertible notes, leaving room for existing investors and future capital market operations.
