Acquisition Story: From Option Agreement to a Billion-Dollar Merger

On June 16 this year, SpaceX officially announced the acquisition of AI coding tool Cursor in a $60 billion all-stock deal. The deal had been foreshadowed two months earlier—in April, the two parties signed a compute and option agreement, paving the way for subsequent integration.

Cursor's parent company, Anyphere, was founded in 2022 by four MIT graduates, and currently has about 7 million daily active developers, with annualized revenue in the range of $20–26 billion. One side lacked computing power, the other lacked a data entry point; this complementarity pushed the deal forward with unusual decisiveness from negotiations to announcement.

The two parties even set a high breakup fee, showing how strong their determination was.

Training Results Under 10-20x Compute Increase
On July 8, SpaceXAI and Cursor will officially release their first joint model. This model was trained from scratch on Colossus, without following Cursor's previous technical path. Cursor CEO Michael Truell revealed at a recent event that the team can now call upon 10 to 20 times the computing power they had before.

Previously constrained by resources, many optimization ideas simply couldn't be run; now they can finally conduct large-scale experiments and extend training cycles.

In terms of positioning, this model primarily benchmarks against Anthropic's Opus 4.8 and OpenAI's GPT 5.5, with a strong emphasis on extremely fast information processing speed. Employees from Tesla and SpaceX have already participated in internal testing.

Market Share Redistribution of Coding Tools

For Cursor's direct competitors, this is not good news.

Over the past year, Cursor's share in the AI coding tool market has slipped from 41% to 26%, facing considerable pressure from GitHub Copilot and Codeium. Now, backed by SpaceX's computing foundation and brand momentum, the situation could reverse.

OpenAI's Codex and Anthropic's Claude Code both need to reassess the competitive landscape.

The competitor is no longer just a startup, but a behemoth with a supercomputing center, aerospace-grade engineering capabilities, and a tens-of-millions developer entry point.

For the industry, this deal offers a new paradigm: the combination of model companies and application-layer tools may be more efficient than going it alone. In the future, more large companies with computing power reserves may follow this path to acquire AI application teams that have user scenarios but lack compute.
